NESTHAPPY – SERVICE PROVIDER TERMS & CONDITIONS

These Service Provider Terms & Conditions (“Terms”) govern your use of the NestHappy platform as a Service Provider.

By creating an account, you agree to be legally bound by these Terms.


1. Introduction

These Service Provider Terms and Conditions (“Terms”) govern the relationship between NestHappy Limited trading as NestHappy (“NestHappy”, “the Platform”, “we”, “us”) and any individual or business providing services through the NestHappy platform (“Service Provider”, “Provider”, “you”).

NestHappy operates as an online marketplace platform connecting customers with independent self-employed service providers.

Service Providers are not employees of NestHappy and remain fully responsible for their own tax obligations, insurance, licences, qualifications, and regulatory compliance.


2. Independent Contractor Status

All providers using the NestHappy platform operate as independent self-employed contractors.

Nothing in these Terms shall be interpreted as creating:

  • An employment relationship
  • A partnership
  • A joint venture
  • An agency relationship beyond the limited payment facilitation described in these Terms

Providers are responsible for:

  • Their own tax obligations
  • National Insurance contributions
  • Insurance requirements
  • Equipment and supplies unless otherwise agreed with the customer
  • Compliance with all applicable laws and regulations

3. Provider Eligibility

To provide services through the platform, providers must:

  • Be legally entitled to work in the United Kingdom
  • Successfully complete identity verification
  • Successfully complete any right-to-work checks required
  • Maintain valid Public Liability Insurance where applicable
  • Provide accurate and truthful profile information
  • Comply with NestHappy platform standards and policies

NestHappy reserves the right to approve, reject, suspend or remove providers at its sole discretion.

3.1 Registration Fees, Identity Verification & DBS Checks

Providers are required to pay a registration fee which may include the cost of identity verification, right-to-work verification, DBS checks and other compliance checks required by NestHappy.

All registration fees, onboarding fees, identity verification fees, DBS check fees and associated compliance costs are strictly non-refundable.

No refund will be issued where:

  • A provider fails an identity verification check
  • A provider fails a right-to-work verification check
  • A DBS check reveals information that results in the provider being deemed unsuitable for the platform
  • A provider withdraws their application during the onboarding process
  • NestHappy declines a provider application following any verification or compliance checks
  • A provider decides not to proceed after registration

By submitting payment, providers acknowledge that these fees are used to cover third-party verification and administration costs incurred by NestHappy and are therefore non-refundable under any circumstances.

Payment of a registration fee does not guarantee acceptance onto the NestHappy platform.


4. Bookings and Service Delivery

All bookings must:

  • Be accepted through the NestHappy platform
  • Be completed professionally and on time
  • Be carried out with reasonable care and skill
  • Be conducted in accordance with customer expectations and platform standards

Providers must not request, encourage or accept off-platform payments for services introduced through NestHappy.

Attempting to divert customers away from the platform may result in suspension or permanent removal.


5. Platform Fees and Commission

NestHappy charges a commission fee on completed bookings.

Current commission tiers are:

Tier Commission
Standard 20%
Trusted 18%
Elite 15%

Commission is automatically deducted before provider payout.

NestHappy reserves the right to amend commission structures, incentive programmes and fee arrangements at any time.


6. Repeat Booking Incentive (Provider Bonus)

NestHappy may offer performance-based incentives designed to encourage excellent service and repeat bookings.

Where:

  • A customer rebooks the same provider within 48 hours of a completed booking
  • The repeat booking takes place within 14 days
  • The original booking received a rating of 4 stars or higher

The provider may qualify for a 2% reduction in commission on that repeat booking.

NestHappy reserves the right to modify, suspend or withdraw any incentive programme without notice.


7. Payments

Customer payments are processed securely via Stripe Connect or another approved payment provider.

Providers receive payment after a booking has been marked as completed, less any applicable commission, fees, refunds or adjustments.

Payment processing times may vary.

NestHappy does not hold customer funds outside of the payment provider system.


8. Insurance Requirements

Providers are responsible for maintaining all insurance required to perform their services.

Where applicable, providers must maintain valid Public Liability Insurance.

Providers may be required to upload proof of insurance and renewal documentation.

Where insurance expires:

  • Provider accounts may be paused
  • Existing bookings may be reviewed
  • New bookings may be restricted until valid insurance documentation is supplied

NestHappy reserves the right to remove providers who fail to maintain adequate insurance cover.


9. Reviews and Ratings

Customers may leave reviews and ratings following completed bookings.

Reviews contribute towards:

  • Provider reputation
  • Search ranking
  • Tier progression
  • Platform trust indicators

Providers receiving consistently poor reviews or complaints may be suspended, restricted or removed from the platform.


10. Platform Conduct

Providers must not:

  • Behave abusively or unprofessionally
  • Harass customers
  • Request off-platform payments
  • Repeatedly cancel bookings without good reason
  • Misrepresent qualifications, insurance or experience
  • Submit false information during onboarding
  • Engage in fraudulent activity

Violation of these standards may result in immediate suspension or permanent removal.


11. Suspension and Termination

NestHappy may suspend, restrict or terminate provider accounts where necessary to protect customers, providers or the integrity of the platform.

Examples include:

  • Repeated cancellations
  • Poor customer reviews
  • Expired insurance
  • Failed compliance checks
  • Fraudulent behaviour
  • Breach of these Terms

NestHappy’s decision regarding suspension or termination shall be final.


12. Limitation of Liability

NestHappy acts solely as an online marketplace connecting customers with independent service providers.

NestHappy is not responsible for:

  • The performance of services by providers
  • Property damage caused by providers
  • Injury caused by providers
  • Disputes between customers and providers

Providers remain fully responsible for their own actions, conduct and services.


13. Changes to Terms

NestHappy reserves the right to amend these Terms at any time to reflect changes in law, business operations, platform functionality or regulatory requirements.

Providers will be notified of any material changes.

Continued use of the platform constitutes acceptance of any updated Terms.


14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
